These Terms of Service ("Terms") set out the conditions for using "Shopwise" (the "Service"), provided by Max Miyazaki ("we", "us"). By using the Service, you ("you", the customer) agree to these Terms.
1. Scope
- These Terms apply to everything between you and us concerning the use of the Service.
- The prices, the Legal Disclosure (Specified Commercial Transactions Act), the Privacy Policy and other explanations we show in the Service form part of these Terms. Where they differ, these Terms prevail (except for items the law requires the Legal Disclosure to state).
- The Service is intended for people who run a business, such as a shop, and use it for that business.
2. What the Service does
- The Service makes reports on how your store is doing from the monthly figures you enter or import (sales, costs, customer counts and so on).
- Every figure in a report is calculated by the Service's software. Artificial intelligence (AI) is used only to write the explanation around the calculated figures; it never produces figures.
- Reports are reference information for your business decisions. They are not accounting, tax, legal, investment or other professional advice.
- The specific features of the Service are as described in the Service.
3. Your account
- You register with your email address and log in with a code sent to that address. There is no password.
- You register with accurate information and are responsible for your email address and how you log in.
- One account is for one person.
- We may refuse a registration (for example in the cases in section 10, or after a previous breach of these Terms).
4. Price, free month and payment
- The price is the amount shown on the Service's pricing page and in the Legal Disclosure. The price shown is the total you pay; there are no other charges (apart from the cost of your internet connection).
- The currency depends on the billing country you choose when subscribing: Japanese yen for Japan, US dollars for the United States. The Service is currently available to customers in Japan and the United States. Your billing country is the country of your card's billing address (where the card was issued does not matter). We cannot accept a subscription whose billing address is outside Japan and the United States, or whose chosen country does not match the billing address; such a subscription is cancelled (and refunded in full if a payment was already made).
- The first month is free (one month from your first login; no card is needed). The free month ends one month after the date and time of your first login, at the same time (Japan time); if that month has no such day, on its last day. If you registered before the day we start charging for the Service, your free month runs for one month from that day. The Service shows the day before the free month ends as its last day ("until").
- You can choose to pay during or after the free month. If you choose during the free month, you keep the rest of it. Your first payment is made on the day the free month ends (or at the moment you choose, if the free month has already ended).
- You pay by credit card through the payment service Stripe. Stripe handles your card details; we never receive them.
- Before you pay, we show you on a final confirmation screen the price, when you pay, the automatic renewal, how to cancel and the refund policy. You proceed to payment only after agreeing to them.
5. Automatic renewal and changing how you pay
- Monthly plans renew automatically every month and annual plans every year, on the renewal date, and are paid the same way, until you cancel.
- Before an annual plan renews, we send you a reminder by email.
- You can switch from monthly to annual, or from annual to monthly, at any time in the Service. The switch takes effect from the next renewal date; nothing is prorated. A switch during the free month takes effect at once, and the date of your first payment stays the same.
6. Cancelling
- You can cancel at any time in the app. No phone call or email is needed.
- After cancelling, you can use every feature until the end of the period you paid for. Until that date, you can also undo the cancellation.
- If you chose to pay during the free month and cancel before it ends, you are not charged.
- If you cancel while a payment has failed (while the payment service retries it), the plan ends at once.
- Deleting your account also cancels the plan at once (section 9.3).
7. Refunds
Because of the nature of the Service, payments are not refunded (including pro rata), except where the law requires a refund and in the case in section 4.2.
8. If payment stops
- Your account becomes view-only when:
- (1) the free month has ended and you have not chosen to pay;
- (2) you cancelled and the period you paid for has ended; or
- (3) a payment fails and is still not made after the payment service's retries.
- While view-only, you cannot enter or import figures, create or re-create reports, add stores or change settings. You can still log in; open, download and save reports as PDF; export all your data; and delete stores, reports or your account.
- Your data is not deleted when your account becomes view-only. When you pay again, everything works as before.
9. Your data
- The data you enter or import, and the reports the Service makes for you, are yours. We use them only to provide, maintain and improve the Service and to support you.
- You can export all your data in the Service at any time.
- You can delete your account at any time. If you have a plan, it is cancelled when you delete the account, and the rest of the period is not refunded. Deleted data remains in encrypted backups for up to 30 days and is then erased. Payment records are kept for the period stated in the Privacy Policy.
- We do not delete your data automatically (except where the law requires it and in the case in section 12).
- We do not sell your data or use it for advertising.
- Files you upload for an import are deleted after 7 days.
10. What you must not do
- Anything that breaks the law or public order.
- Registering with someone else's email address or pretending to be someone else.
- Putting excessive load on the Service's servers or network, or interfering with its operation.
- Unauthorised access, exploiting vulnerabilities, or trying to obtain other customers' data.
- Creating several accounts to get the free month again.
- Copying or reselling the Service, or providing it for anything other than your own business.
- Anything else we reasonably consider inappropriate.
11. Usage limits
To keep the Service stable, the following limits apply. What happens at a limit is shown in the Service. We may change the limits after announcing it in the Service.
- Reports with an AI-written explanation: 30 per account per month (calendar month, UTC). Beyond that, reports are made with the basic explanation; the figures are the same.
- Stores: up to 10 per account.
- Uploads, report requests, login requests and the like: up to the numbers shown in the Service.
- If the AI cost of the whole Service exceeds its daily limit, reports made that day use the basic explanation.
12. Suspension
If you breach these Terms, or where needed to keep the Service safe, we may suspend your use temporarily without prior notice. If the reason is not resolved, we may delete the account after notice with a reasonable period; you will have a chance to export your data first.
13. Changes to, interruption and end of the Service
- We may change what the Service does. Important changes to your disadvantage are announced in the Service in advance.
- We may interrupt the Service temporarily for maintenance, failures, outages of outside services or other unavoidable reasons.
- If we end the Service, we announce it in the Service at least 30 days in advance and give you a chance to export your data. Any paid period not yet used is refunded.
14. What we do not guarantee
- We do not guarantee that the Service is always available, free of errors or interruptions, or fit for a particular purpose of yours.
- Reports are based on the figures you enter. We are not responsible for the accuracy of those figures.
- Reports are reference information; we are not responsible for decisions you make on their basis or their results (except within section 15).
15. Limitation of liability
- Except in case of our intent or gross negligence, our liability for damage arising in connection with the Service is limited to the total fees you paid us in the 12 months before the month in which the damage occurred.
- Except in case of our intent or gross negligence, we are not liable for lost profits or damage arising from special circumstances.
16. Changes to these Terms
- We may change these Terms in accordance with Article 548-4 of the Japanese Civil Code.
- We announce the changed text and its effective date in the Service a reasonable time before that date. A price change applies from the first renewal date on or after its effective date.

- We contact you through notices in the Service or by email to the address you registered.

18. Governing law and court
- These Terms are governed by the laws of Japan.
- The Tokyo District Court has exclusive jurisdiction as the court of first instance for any dispute concerning the Service.
19. Language
The Japanese version of these Terms governs. This English version is a translation for reference; where they differ, the Japanese version prevails.
